Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Alpha X ("Alpha X", "we", "us") for the use of aiCountant, including the web application, point of sale, online shop, sales channel integrations and related services (the "Service"). If you use the Service for a business, you accept these Terms on behalf of that business ("Customer"), and you confirm you have authority to do so. If you do not agree, do not use the Service.

2. Accounts

• You must give accurate information when you create an account and keep it up to date.
• You are responsible for your users, their roles and everything done under your account. Keep passwords and access tokens secret and tell us promptly at sithu@alphax.biz if you suspect unauthorised use.
• Users must be at least 18 years old, or the age of majority where they live.

3. Acceptable use

You agree not to, and not to let others:

• break any law, or sell illegal, counterfeit or prohibited goods through the Service;
• send spam, unsolicited messages or misleading content to customers through any connected channel;
• upload malware, or try to gain unauthorised access to the Service, other accounts or our systems;
• disrupt, overload, scrape or reverse engineer the Service, except where the law allows it;
• use the Service to infringe anyone's privacy or intellectual property rights;
• resell or provide the Service to third parties without our written consent.

We may suspend access that breaks this section or puts the Service or others at risk.

4. Third-party channels and services

The Service can connect to third-party platforms such as Facebook Messenger, Telegram and payment providers such as KBZPay. Your use of those platforms is also governed by their terms and policies, including the Meta Platform Terms and Messenger policies. You are responsible for having the rights and permissions needed to connect your Pages, bots and accounts, for getting any consent your customers must give, and for following the rules of each platform. We are not responsible for third-party platforms, their availability or changes to them.

5. Subscription and fees

• Plans, fees and billing periods are set out in your order, quote or invoice from Alpha X. Contact us for current plans.
• Fees are payable in advance for each billing period unless agreed otherwise in writing, and are non-refundable except where required by law or stated in your order.
• Fees exclude taxes, which you are responsible for unless the law says otherwise.
• If payment is overdue, we may suspend the Service after giving you notice.
• We may change fees for future billing periods by giving at least 30 days' notice.

6. Customer data

You own your data. All business data, customer records, orders, messages and content that you or your customers put into the Service ("Customer Data") belong to you. You give us permission to host, process and transmit Customer Data only to provide, secure and support the Service, and as described in our Privacy Policy.

• You are responsible for the accuracy and legality of Customer Data and for having a lawful basis to collect it.
• We will not sell Customer Data or use it for advertising.
• You can export your data while your account is active. After termination, see section 13.
• The Service helps you keep records, but you remain responsible for your own accounting, tax filings and legal compliance. Please check reports with a qualified accountant where needed.

7. AI features

Some features, such as automated replies in Messenger and Telegram, use artificial intelligence. AI output can be incomplete or wrong. You are responsible for the products, prices, stock and policies you set up, for reviewing orders, and for the replies sent to your customers in your name. You can turn sales channels off at any time.

8. Availability and support

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may carry out planned maintenance, ideally outside business hours, and may change or improve features over time. Support is provided by email at sithu@alphax.biz and by any other channel agreed in your order.

9. Intellectual property

Alpha X owns the Service, the aiCountant name and logo, and all related software and content, apart from Customer Data. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription in line with these Terms. If you send us feedback, we may use it without obligation to you.

10. Disclaimers

Except as stated in these Terms, the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all other warranties, express or implied, including fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent permitted by law:

• neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill;
• our total liability arising from or related to the Service is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify Alpha X against third-party claims arising from your Customer Data, the goods you sell, your use of connected channels, or your breach of these Terms or the law.

13. Termination

• You may stop using the Service and close your account at any time by contacting us. Fees already paid are not refunded unless stated in your order.
• We may suspend or terminate your account if you seriously or repeatedly break these Terms, fail to pay, or if required by law, with notice where reasonable.
• After termination, you can ask for an export of your Customer Data within 30 days. We then delete Customer Data as described in our Privacy Policy, except where the law requires us to keep it.
• Sections that by their nature should survive termination, including 6, 9, 10, 11, 12 and 14, will survive.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of the Union of Myanmar. The parties will first try to resolve any dispute in good faith through discussion. If it cannot be resolved within 30 days, the dispute will be submitted to the competent courts of Myanmar.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new effective date and, for significant changes, notify Customers by email or in the app at least 15 days before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms.
